Terms of Service

1. Acceptance of Terms

By accessing or using the NexaAPI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

NexaAPI provides a unified API for accessing AI models from multiple providers, including image generation, video synthesis, audio processing, and large language models. The Service includes the API, dashboard, documentation, SDKs, and related tools.

3. Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your API keys and account credentials. You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

4. Acceptable Use

You agree not to use the Service to:

  • Generate illegal content, including child sexual abuse material (CSAM)
  • Create deepfakes or non-consensual intimate imagery of real people
  • Generate content that promotes violence, terrorism, or hate speech
  • Infringe on intellectual property rights of others
  • Attempt to reverse-engineer, probe, or attack the Service or upstream providers
  • Resell API access without authorization
  • Circumvent rate limits, usage quotas, or safety filters
  • Use automated systems to create accounts or generate API keys in bulk

We reserve the right to suspend or terminate accounts that violate these policies without notice or refund.

5. Pricing and Payment

The Service uses a pay-as-you-go credit system. Pricing for each model is listed on our Pricing page and may change with 30 days' notice. Credits are non-refundable except where required by law. Unused credits do not expire. We use Stripe for payment processing.

6. Intellectual Property

You retain ownership of the prompts you submit and the content generated through the Service, subject to the terms of the underlying model providers. NexaAPI does not claim ownership of your generated content. You grant us a limited license to process your inputs solely to provide the Service.

7. Service Level

We target 99.9% API uptime but do not guarantee uninterrupted service. The Service is provided "as is" without warranties of any kind, express or implied. We are not liable for downstream model provider outages or quality changes.

8. Limitation of Liability

To the maximum extent permitted by law, NexaAPI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Termination

You may close your account at any time from the Dashboard settings. We may suspend or terminate your access for violation of these Terms or for any reason with 30 days' notice. Upon termination, your API keys are immediately revoked and your data is deleted within 30 days.

10. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or dashboard notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
